Affiliate Agreement

This agreement sets out the terms under which you participate in the PhishClub affiliate programme. By submitting an application you confirm you have read, understood, and agree to these terms.

1. Who this agreement is between

This agreement is between you (the affiliate) and PhishClub, operated by Mark Matthews, Manchester, England. References to "we", "us", or "PhishClub" mean PhishClub. References to "you" mean the approved affiliate.

2. How the programme works

When you are approved as an affiliate, you receive two referral links — one for each commission tier. Any organisation that signs up to PhishClub using your referral link is attributed to you. You earn a recurring commission on each successful monthly payment that organisation makes, for as long as they remain a paying customer.

You choose which link to share based on the level of involvement you are committing to. Using the active link is a commitment to remain the customer's ongoing point of contact with PhishClub. Using the passive link means you are making an introduction only.

3. Commission rates

Commission is calculated on net revenue — the amount received from the customer after deducting VAT at the prevailing UK rate and Stripe payment processing fees. We do not pay commission on tax collected on behalf of HMRC or on payment processing costs.

The applicable rate depends on the tier assigned to your referral:

  • Active (50%) — for referrals where you are the ongoing point of contact for the customer. You are expected to maintain a relationship with the customer, assist with onboarding, and be a first point of contact for queries.
  • Passive (30%) — for referrals where you made the introduction and PhishClub manages the customer relationship from that point.

By way of example: PhishClub is priced at £3 per user per month (VAT included). On a 10-user account that is a £30 monthly charge. After approximately £5 VAT and £0.80 in payment processing fees, net revenue is approximately £24.20. Your 50% share would be approximately £12.10 per month; your 30% share would be approximately £7.26 per month.

4. Payment schedule

Commission is calculated monthly in arrears and paid manually by bank transfer. Payments are typically made within 10 working days of the end of each calendar month, once you have provided us with your bank details.

Commission is only paid on charges that have been successfully collected from the customer. If a customer's payment fails and is not recovered, no commission is owed for that period.

We reserve the right to withhold a commission payment if we have reasonable grounds to believe it resulted from fraudulent activity or a breach of this agreement.

5. Tier changes

Tier can be changed at any time at our discretion based on the level of involvement you maintain with the referred customer. Tier changes take effect from the next billing cycle and are not applied retroactively.

If you no longer wish to act as an active affiliate for a particular customer, notify us and we will move the referral to the passive tier.

6. When commission stops

Commission stops when a referred customer cancels their PhishClub subscription or their account is suspended for non-payment that is not recovered. There is no clawback of commission already paid.

If we terminate your participation in the affiliate programme, commission continues to accrue on existing referrals for 30 days after termination, after which no further commission is owed.

7. Acceptable promotion

You may promote PhishClub through honest, accurate means — direct conversations, email, LinkedIn, your own website, and similar channels. You must not:

  • make false or misleading claims about PhishClub or its pricing
  • use paid advertising that targets PhishClub's own brand terms without our written consent
  • use spam, unsolicited bulk email, or any other promotional method that could bring PhishClub into disrepute
  • offer unauthorised discounts, cashback, or incentives to sign up
  • present yourself as an employee or official representative of PhishClub

We built this programme for people who know their market and talk to it honestly. We'd rather have ten affiliates who do that well than a hundred who don't.

8. Your responsibilities

You are responsible for ensuring that any promotional activity you undertake complies with applicable laws, including UK advertising standards and data protection law. If you hold personal data about prospective customers for the purpose of referral, you are the data controller for that data and must handle it appropriately.

You are responsible for understanding and managing your own tax obligations in relation to commission received. PhishClub does not deduct tax from affiliate payments.

9. Relationship between the parties

You are an independent contractor, not an employee, agent, or partner of PhishClub. Nothing in this agreement creates any employment relationship, joint venture, or partnership. You have no authority to enter into any agreement on PhishClub's behalf.

10. Termination

Either party may terminate participation in the programme at any time by giving written notice. We may terminate immediately if we reasonably believe you have breached this agreement, engaged in fraudulent activity, or are acting in a way that damages PhishClub's reputation.

On termination, clause 6 applies to any commission accrued up to the point of termination.

11. Changes to this agreement

We may update these terms from time to time. We will notify active affiliates by email before any material changes take effect. Continued participation after that notification constitutes acceptance of the updated terms. If you do not accept the updated terms, you may terminate your participation under clause 10.

12. Governing law

This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
